Introduction

This is a guide to key securities law and corporate governance resources in the D'Angelo Law Library, with an emphasis on sources useful for research papers for Professor Lisa Bernstein's Corporate Governance Class, where students look for corporate governance plans, executive compensation, and compare companies with their peers.

  • Corporate Governance
    Since 1995 the Corporate Governance site has provided news, internet links, a reference library, and has served as a discussion forum and network for the movement to enhance wealth through increased accountability by creating more democratic forms of corporate governance and corporate monitoring
  • ISS Corporate Governance Quotient Reports
    Evaluate the strengths, deficiencies and risks of a company's corporate governance practices and board of directors
  • ISS Proxy Research Reports
    Vote recommendations for 33,000 stocks and mutual funds annually. ISS has developed industry-leading "best practice" approaches to assessing the impact of proxy proposals on shareholder value for complex issues such as executive and director compensation, options expensing, and contested solicitations.
  • ISS Securities Class Action Services
    Since 1988, ISS's Securities Class Action Services (SCAS) has tracked class action suits, state and SEC settlements. This proprietary comprehensive database includes up-to-date information and over 10 years of historical class action data, including class periods, settlement dates, status reports, and award amounts.
  • BNA's Corporate Governance Report

  • Securities Class Action Clearinghouse
    Full text of complaints, motions, judicial opinions, and other major class action filings. Includes many filinigs not available from PACER or other services.

    Information on all poison pill shareholder rights plans and amendments to those plans adopted since the invention of this defensive tactic.
